End-User License Agreement

This End-User License Agreement ("Agreement") governs your access to and use of Cornerstone, a web-based renovation project management and financial tracking platform available at crnstn.ai, including related pages, features, integrations, and services (collectively, the "Service").
By accessing or using the Service, you agree to be bound by this Agreement. If you access the Service on behalf of a company, partnership, limited liability company, or other organization, you represent that you are authorized to bind that organization, and "you" includes both you and that organization.
1. Limited license
Subject to this Agreement, Cornerstone grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service solely for your internal business purposes related to renovation project management, project budgeting, document organization, project calendars, contractor milestones, checks, reimbursements, cost tracking, exports, and authorized QuickBooks Online syncing.
2. Accounts and authorized users
The Service is intended for invited business users and project team members. You are responsible for maintaining the confidentiality of your login credentials, for all activity under your account, and for ensuring that your users have appropriate authority to access the projects, businesses, documents, and financial information made available to them.
3. Your data and content
You retain ownership of the project information, financial entries, vendor or contractor details, calendar items, comments, uploaded documents, exported files, and QuickBooks Online information that you submit, upload, import, or sync into the Service ("Customer Data"). You grant Cornerstone the rights necessary to host, process, display, back up, transmit, and otherwise use Customer Data to provide, maintain, secure, and improve the Service.
4. Accuracy of project and financial information
Cornerstone is a project management and reporting tool. You are solely responsible for reviewing and verifying all budgets, deal evaluator outputs, cost categories, imported QuickBooks transactions, checks, reimbursements, exports, reports, and other financial or project information before relying on them. The Service does not provide accounting, tax, legal, real estate, construction, lending, or investment advice.
5. QuickBooks Online and third-party services
If you connect QuickBooks Online or another third-party service, you authorize Cornerstone to access, import, display, store, and process the information you approve for that integration, including company, customer or job, category, vendor, memo, check number, date, and amount information as needed for project cost tracking. Your use of third-party services remains subject to their separate terms, policies, permissions, and account settings.
6. Acceptable use
You may not use the Service to violate law, infringe intellectual property or privacy rights, upload malicious code, attempt unauthorized access, interfere with system integrity, scrape or copy the Service, reverse engineer any non-public portion of the Service, or use the Service to store unlawful, harmful, or misleading content.
7. Ownership of the Service
Cornerstone and its licensors retain all rights, title, and interest in and to the Service, including software, design, workflows, user interface, branding, and related intellectual property. No rights are granted except as expressly stated in this Agreement.
8. Availability, changes, and suspension
We may modify, update, suspend, or discontinue any part of the Service at any time. We may suspend or terminate access if we reasonably believe an account creates security risk, violates this Agreement, violates law, or may harm the Service or other users.
9. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted operation, error-free operation, or accuracy of project, financial, imported, or exported information.
10. Limitation of liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenues, data, goodwill, business opportunities, financing opportunities, project opportunities, or cost savings arising out of or related to the Service, even if advised of the possibility of such damages. To the maximum extent permitted by law, our total liability for any claim related to the Service will not exceed the greater of amounts paid to us for the Service during the three months before the event giving rise to the claim or one hundred dollars ($100).
11. Indemnity
You agree to defend, indemnify, and hold harmless Cornerstone from claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising from your Customer Data, your use of the Service, your connected third-party accounts, your violation of this Agreement, or your violation of law or third-party rights.
12. Governing law
This Agreement is governed by the laws of the State of California, without regard to conflict of law principles. Subject to any mandatory venue rules, disputes arising from or relating to this Agreement or the Service will be brought in the state or federal courts located in California, and you consent to the jurisdiction of those courts.
13. Changes to this Agreement
We may update this Agreement from time to time. The updated version will be posted on this page with a revised "Last updated" date. Continued use of the Service after an update means you accept the updated Agreement.
